Terms of Service

1. Introduction

Welcome to Node Harbor. These Terms of Service govern your use of our website and the consultancy services we provide. By accessing our website or engaging our services, you agree to these terms.

2. Services

Node Harbor provides AI automation consultancy services including but not limited to process automation, AI agent workflows, system integration, custom ML models, forecasting, and team training. The specific services to be provided will be detailed in a separate Statement of Work or Service Agreement agreed upon by both parties.

3. Client Responsibilities

Clients are responsible for providing timely and accurate information necessary for service delivery, designating a primary contact person, and providing reasonable access to systems and resources required to complete the agreed services.

4. Intellectual Property

Unless otherwise agreed in writing:

  • Node Harbor retains ownership of pre-existing intellectual property.
  • Upon full payment, clients receive ownership of custom-developed deliverables for their internal business purposes.
  • Specific licensing terms may be outlined in the project agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical information, and any data provided by either party marked as confidential.

6. Payment Terms

Payment terms will be specified in each Service Agreement. Generally, we require a deposit before work begins, with remaining payments due according to the agreed schedule. Late payments may incur additional fees.

7. Limitation of Liability

Node Harbor's liability is limited to the amount paid for the specific services in question. We are not liable for indirect, consequential, or incidental damages, including but not limited to loss of profits, data, or business opportunities.

8. Termination

Either party may terminate services with written notice as specified in the Service Agreement. Upon termination, the client is responsible for payment of services rendered up to the termination date.

9. Governing Law

These terms are governed by the laws of the State of Illinois. Any disputes shall be resolved in the courts of DuPage County, Illinois.

10. Changes to Terms

Node Harbor reserves the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
